1. Agreement to Terms

By accessing or using Report Pantry’s website (reportpantry.com) or services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our services.

Report Pantry LLC (“Report Pantry,” “we,” “us,” or “our”) is a New Jersey limited liability company providing subscription analytics services.

2. Services Description

2.1 Service Offerings

Report Pantry provides analytics and intelligence services for Shopify + Recharge subscription businesses, including:

  • Greenlight Core: One-time diagnostic analysis and reporting
  • Greenlight + Alerts: Diagnostic analysis plus ongoing monitoring and alerts
  • Outcome Plan: Performance-based analytics optimization
  • Stay Green Plan: Ongoing maintenance and support services
  • Shop Products: Self-service digital resources (templates, guides, kits)

2.2 Service Scope

All services are specifically designed for Shopify and Recharge platforms. We do not guarantee compatibility with other platforms or custom implementations.

3. Eligibility

You must:

  • Be at least 18 years old
  • Have the authority to bind your business to these Terms
  • Operate a legitimate business on Shopify + Recharge
  • Provide accurate business and contact information

4. Account and Access

4.1 Data Access

To perform our services, you must grant us read-only access to:

  • Shopify store data
  • Payment processor data (Stripe, Recharge, etc.)
  • Google Analytics or other analytics platforms (if applicable)

4.2 Access Security

You are responsible for:

  • Maintaining the security of your access credentials
  • Notifying us immediately of any unauthorized access
  • Revoking our access when services are terminated

4.3 Access Revocation

You may revoke our access at any time. However, this may prevent us from completing contracted services and does not entitle you to a refund.

5. Pricing and Payment

5.1 Service Fees

Greenlight Core: $1,950 one-time payment

Greenlight + Alerts: $3,500-$4,500 one-time payment (exact price determined after discovery call based on data complexity)

Outcome Plan:

  • $1,500 setup fee (non-refundable)
  • 10% of recovered MRR over 90 days
  • Total payment capped at $5,000

Stay Green Plan: $399/month, billed monthly

Shop Products: Prices as listed on product pages

5.2 Payment Terms

  • One-time services (Greenlight Core, Greenlight + Alerts): Full payment due before work begins
  • Outcome Plan: Setup fee due before work begins; performance fees invoiced monthly
  • Stay Green Plan: Billed monthly via credit card on file
  • Shop Products: Full payment due at time of purchase

5.3 Payment Methods

We accept payment via:

  • Credit card (Stripe)
  • ACH transfer (for invoices over $3,000)
  • Other methods as agreed in writing

5.4 Late Payments

Invoices not paid within 14 days are subject to a 1.5% monthly late fee. We reserve the right to suspend services for accounts with overdue balances.

5.5 Price Changes

We may change prices for future services but will honor the price you paid for services already purchased.

6. Service Delivery

6.1 Timeline

Greenlight Core: 24 hours from when we receive access and complete kickoff call

Greenlight + Alerts: 48 hours from when we receive access and complete kickoff call

Outcome Plan: Implementation begins within 2 weeks of setup payment

Stay Green Plan: Ongoing, begins after initial Greenlight service

6.2 Delays

Delivery timelines begin when we receive:

  1. Full payment
  2. Required data access
  3. Completion of kickoff call

Delays caused by data quality issues, access problems, or client availability may extend timelines.

6.3 Deliverables

Services include:

  • Written reports and analysis documents
  • Dashboard access (Power BI, Looker Studio, or similar)
  • Email and/or Slack notifications (for Alert services)
  • Documentation and implementation guides

6.4 Client Responsibilities

You agree to:

  • Provide timely access to required data
  • Respond to questions within 48 business hours
  • Implement recommendations (for Outcome Plan results)
  • Attend scheduled calls and walkthroughs

7. Refunds and Cancellations

7.1 Greenlight Core and Greenlight + Alerts

7-day refund policy: If we fail to deliver what was promised (verified metrics, analysis, and action plan), you may request a full refund within 7 days of delivery.

Refunds are not granted for:

  • Change of mind
  • Failure to implement recommendations
  • Results not meeting your expectations
  • Data quality issues on your end

7.2 Outcome Plan

Setup fee ($1,500) is non-refundable once work begins.

Performance fees (10% of recovered MRR) are only charged on measurable results. No refund applies to performance fees as they represent actual value delivered.

7.3 Stay Green Plan

Month-to-month service. Cancel anytime with 30 days’ written notice. No refunds for partial months.

7.4 Shop Products

30-day money-back guarantee on all Shop products. To qualify:

  • Request refund within 30 days of purchase
  • Provide brief explanation of why product didn’t meet needs
  • Agree not to redistribute purchased materials

No refunds after 30 days or if materials have been redistributed.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that:

  • Services will be performed with reasonable care and skill
  • Deliverables will match descriptions on our website
  • We will use industry-standard security practices

8.2 No Guarantee of Results

We do not guarantee:

  • Specific revenue increases or cost savings
  • That implementing our recommendations will produce specific results
  • That all payment failures or churn issues can be eliminated
  • Compatibility with future platform updates

8.3 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

9.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPORT PANTRY’S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9.2 Excluded Damages

WE ARE NOT LIABLE FOR:

  • Indirect, incidental, consequential, or punitive damages
  • Lost profits, revenue, or business opportunities
  • Data loss (you are responsible for backups)
  • Decisions made based on our analysis or recommendations
  • Results from implementing (or not implementing) our recommendations

9.3 Basis of Bargain

You acknowledge that the fees charged reflect this allocation of risk and that we would not provide services without these limitations.

10. Intellectual Property

10.1 Our Property

We retain all rights to:

  • Our methodologies, processes, and analytical frameworks
  • Dashboard templates and report formats
  • Software, code, and technical implementations
  • Brand names, logos, and trademarks

10.2 Your Data

You retain all rights to your business data. By using our services, you grant us a limited license to:

  • Access and analyze your data
  • Create reports and analysis based on your data
  • Store your data for the duration of our engagement

10.3 Deliverables

You own the specific reports, dashboards, and analysis we create for you. You may use these for your business operations but may not:

  • Resell or redistribute our deliverables
  • Remove our branding or attribution
  • Use deliverables to create competing services

10.4 Shop Products

Shop products are licensed for single-brand use only. You may not:

  • Redistribute, resell, or share with other businesses
  • Use for multiple brands or client work without an agency license
  • Remove attribution or claim as your own work

11. Confidentiality

11.1 Confidential Information

“Confidential Information” includes:

  • Your business data, metrics, and analytics
  • Strategic plans, pricing, and business operations
  • Non-public information about your business
  • Our methodologies and proprietary processes

11.2 Our Obligations

We will:

  • Not disclose your Confidential Information to third parties
  • Use your information only to provide services
  • Implement reasonable security measures
  • Delete your data upon request (after service termination)

11.3 Exceptions

We may disclose information when:

  • Required by law or legal process
  • Necessary to enforce these Terms
  • You give explicit written consent
  • Information is already public

11.4 Anonymized Data

We may use anonymized, aggregated data for:

  • Industry benchmarking (opt-in only)
  • Improving our services
  • Marketing materials (no client identification)

12. Data Privacy and Security

12.1 Data Collection

We collect and process:

  • Business contact information
  • Shopify and Recharge transaction data
  • Analytics and user behavior data
  • Payment information (processed by Stripe)

12.2 Data Use

We use your data solely to:

  • Provide contracted services
  • Communicate about services
  • Improve our offerings
  • Comply with legal obligations

12.3 Data Security

We implement:

  • Industry-standard encryption
  • Secure data storage (Google Cloud BigQuery)
  • Limited employee access (need-to-know basis)
  • Regular security reviews

12.4 Data Retention

We retain your data:

  • While services are active
  • For 30 days after Stay Green Plan cancellation
  • For 90 days after one-time service completion
  • Longer if required by law or with your consent

12.5 Your Rights

You may:

  • Request access to your data
  • Request correction of inaccurate data
  • Request deletion (subject to legal requirements)
  • Revoke our data access at any time

13. Termination

13.1 Termination by You

One-time services: Cannot be terminated after work begins (subject to refund policy)

Stay Green Plan: Cancel anytime with 30 days’ written notice

Outcome Plan: May terminate after 30 days with written notice; performance fees owed on results to date

13.2 Termination by Us

We may terminate services if you:

  • Fail to pay amounts due
  • Violate these Terms
  • Engage in abusive or illegal conduct
  • Provide false information
  • Revoke required data access

13.3 Effect of Termination

Upon termination:

  • You must pay all amounts owed
  • We will cease providing services
  • You retain deliverables provided to date
  • We will delete your data per our retention policy
  • Confidentiality obligations survive termination

14. Modifications to Terms

14.1 Changes

We may modify these Terms at any time. Changes will be posted at reportpantry.com/terms with an updated “Last Updated” date.

14.2 Notice

We will notify active clients of material changes via email at least 30 days before the effective date.

14.3 Continued Use

Your continued use of services after changes take effect constitutes acceptance of the new Terms.

14.4 Existing Contracts

Changes do not affect services already purchased under previous Terms.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict of law provisions.

15.2 Dispute Resolution

Informal Resolution: Before filing any claim, you agree to contact us at hello@reportpantry.com to attempt to resolve the dispute informally for at least 30 days.

Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration in New Jersey under the rules of the American Arbitration Association, except for disputes involving intellectual property rights or amounts under $10,000.

Small Claims Court: Either party may bring claims in small claims court instead of arbitration.

15.3 Class Action Waiver

You agree to resolve disputes individually. Class actions, class arbitrations, and representative actions are not permitted.

15.4 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

15.5 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

15.6 Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

15.7 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Report Pantry regarding our services.

15.8 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, wars, pandemics, internet outages, etc.).

15.9 Independent Contractor

We are an independent contractor. These Terms do not create an employment, partnership, or agency relationship.
